Effective date: [YYYY-MM-DD] · Version: [YYYY-MM-DD]
These terms apply to you if you use the SplitSpoon Service during the invite-only beta. They add to the SplitSpoon Terms of Service (the "Terms"), and use the same defined terms. [SplitSpoon LLC], a [State] limited liability company ("SplitSpoon", "we", "us"), operates the Service.
1. Who can join
- The beta is by invitation only. The Service is for business use, and you must be at least 18 and in the United States. The invitation request form asks you to confirm that you are in the United States.
- An invitation code is personal to you. Do not pass it on. A code expires 30 days after we issue it, unless we tell you a different date when we send it. [verify: an operator can set 1 to 365 days; 30 is the default.]
- We may tie a code to your email address. If we do, it works only for that address.
- You can ask for an invitation through the form on our website, or by writing to [email protected]. Asking does not guarantee an invitation. We choose who joins, in small batches, and we do not have to give a reason. [lawyer: any duty to say why we decline?]
2. What testers get
- Access to the Service while the beta runs.
- Credits that we grant. We may grant you credits by hand. Granted credits pay for the same AI work as purchased credits. They are spent in the same way as other credits, oldest first.
- Granted credits do not expire while the beta runs. When the beta ends, section 7 says what happens to them, and we will tell you at least 30 days before any change takes effect. They are not money. They have no cash value, cannot be refunded, cannot be withdrawn, and cannot be transferred to another account.
- Credits you buy follow the Terms (section 7) and the Refund & Credits Policy. Nothing in these terms makes bought credits refundable.
- No free trial. We do not offer one. [verify: the trial switch is off at launch.]
3. What we ask of you
- Tell us what works and what does not. Report bugs and wrong readings.
- Your feedback is ours to use. If you give us feedback, ideas or suggestions about the Service, you give us a licence to use them for any purpose. The licence is worldwide, free of charge, perpetual and irrevocable. We do not have to pay you or name you. [lawyer: wording, and whether it must be limited so it cannot reach your content.]
- Feedback does not include your content (as Terms section 6 defines it). Your content stays yours under the Terms.
- The feedback licence in this section survives the end of these terms.
- A bug report or wrong-reading report may include content. We use that content only to investigate and fix the problem, never to train AI models, and we delete it within 90 days. The feedback licence covers your comments, not the content they quote. [owner: 90 days]
- We do not have to act on your feedback.
- Non-public features. Some beta features may not be public yet. [lawyer: should testers have to keep unreleased features confidential, and for how long? Owner: confirm that we want such a clause.]
4. No promises during the beta
- Features may change or disappear, with or without notice.
- We make no promise of uptime, speed or support response times.
- Keep your own copies. Data can be lost in a beta. Export your work often. In the app you can:
- save a project file with File, "Export project file (.bhlp)";
- export CSV, project JSON, GeoJSON, AGS4, gINT CSV and CAD drawings from the Data menu;
- export PDFs from the Export menu.
- Your projects are encrypted with your vault key, and we cannot read or rebuild them. If you lose both your vault passphrase and your recovery key, we cannot recover your projects (Terms, section 3).
- Sections 12 and 13 of the Terms (disclaimers and limits) apply to the beta in full. [lawyer: how far can we disclaim loss of data in the beta, given that we run an encrypted vault and keep encrypted backups? Can we disclaim loss caused by our own fault?]
5. Prices
Beta prices may change. Terms section 7.4 says how much notice we give and which quoted prices stay fixed. That section applies to beta prices.
6. Your content and your data
The Terms cover your content. If your content includes personal data, the Data Processing Addendum applies. The Privacy Policy covers the information we collect about you.
7. When the beta ends
- We will tell you by email, or in the app, before the beta ends. [owner: how much notice? Suggested: at least 30 days.]
- Accounts. [owner: do beta accounts carry over to the paid Service without a new sign-up, or do we ask you to accept new terms?]
- Your data. You will be able to sign in and export for a period after the notice. [owner: how long?] After that, the Terms (sections 9 and 10) on deletion and retention apply.
- Granted credits. When the beta ends, granted credits carry over unchanged unless we tell you otherwise at least 30 days before the change takes effect. [owner: when the beta ends, do granted credits carry over, expire on a stated date, or convert to something else? The software today has no rule for this: granted credits simply do not expire.] [lawyer: can we end or expire credits that were granted free?]
- We may also end your access to the beta earlier, under sections 9 and 9A of the Terms.
8. Which terms win
For beta matters, these terms win over the Terms if the two disagree. For personal data, the Data Processing Addendum wins over these terms. In all other matters the Terms apply. [lawyer: confirm this order, and that it matches Terms section 17.]
9. Changes to these terms
Terms section 15 applies to these terms, and they share its version number.
